Company Law is not relevant to an unincorporated asociation which are
governed by state laws as are incorporated associations.

It's a simple matter of mathematics. To use a number of 21 for a quorum,
consisting of 19 physical and 2 proxy votes. Should 10 vote for and 9
against and the two proxy voters have indicated they wish to abstain from
that particular motion. The motion is lost, because the vote for was a
minority of the quorum .
