Greetings all,

This matter relates to all current HUMBUG financial member (people that
have been members for longer than 3 months). If this does not apply to
you, please disregard this message.

Currently there is debate in the club as to the current requirements for

a quorum in a Special General Meeting.

For those of you who are not familiar with the workings of a Club and
Special General Meetings, a quorum is the minimum number of voting
members who must attend an SGM/AGM for the meeting to be valid.

Currently our constitution states that we require a 1/3 majority of
eligible voting members to obtain quorum.

The problem that HUMBUG is facing is we as a club are finding it harder
and harder to obtain a quorum during a SGM (or AGM).  This is due to
people becoming non active in the club and not coming to a SGM or not
putting in a written proxy vote. This causes delays in holding a SGM or
AGM.

Currently HUMBUG is not an incorporated club as is not bound by
incorporated club constitutional law.

The solution:
            1) To reduce the current level of the quorum
            2) To remove the voting right of members who do not attend
meetings or are          no longer active in the club.

Current suggested option's to reducing the quorum are
            1) 2 X the current number of the executive + 1 (11)
            2) 3 X the current number of the executive (15)
            3) 4 X the current number of the executive + 1 (21)

Placing a restriction on the voting rights of a member if they become
non active has some legal implications (e.g. a person goes overseas for
an extended period and comes back in the month of a SGM, their voting
rights may be severed when there were extenuating circumstances)

What we are asking you to do:
            1) to reply to this message
            2) In that reply state whether or not you agree that a
change is necessary
            3) If you think that a change is necessary, what preference.

(This is not necessarily one of the above. If you think you have a
better solution then tell us)

Myself and the executive will collate the answers and work out the most
popular choice. This will then me put to a Special General Meeting for a

formal vote on the change of constitution.
